Terms & Conditions
- Estimates are valid for 30 days.
- All work is billed on a per project basis. Occasionally small work and maintenance may be billed at our hourly rate which is currently $25.
- A non-refundable fee of 50% is required up front before beginning any work as a retainer for our services, and the remaining 50% will be due upon completion of the project.
- Estimates are based on the information provided at the time of quoting and may be subject to change if additional work is required.
- Changes requested beyond the original scope of the project will be billed at our hourly rate.
- Payment terms for invoices are strictly 10 days from date of invoice unless otherwise stated..
- Unpaid balances beyond 30 days will attract a percentage based late payment fee (maximum of 5% per month), compounded and payable monthly, of the total outstanding balance.
- We check emails and messages and occasionally work at various times, but the scheduled operating hours are between 10:00 AM and 3PM EDT Monday through Friday.
- We do not work on weekends or major holidays. If overtime work is requested through these times, you will be charged our regular hourly rate of $25 per hour, plus an additional $25 per hour for after hour’s service.
- Logo/Branding consists of the unique design of a mark and/or name for the entity.
- Corporate Identity consists of the digital design of a business card, letter head, and envelope.
- Websites are designed to work with current technologies and browser versions. If future unforeseeable changes to technology or browsers cause web site errors Simple Intelligent Systems can repair these at the quoted standard hourly rate.
- We guarantee compatibility with Firefox, Opera, Safari, and Internet Explorer 7. We do our best to get Internet Explorer 6 to cooperate, but we do not guarantee an error free result for this browser.
- Search Engine Optimization services are not included within web site development quotes unless otherwise agreed upon.
- Quoted delivery dates may change due to unforeseen circum stances, delays in client response times or excessive design changes.
- No speculative work allowed.
- It is under stood that we (Simple Intelligent Systems) are an independent professional entity and that Simple Intelligent Systems will not in any event be construed as or hold itself to be an employee of the customer. It is further agreed that at no time will Simple Intelligent Systems or any work efforts be under the supervision or control of the customer, although Simple Intelligent Systems agrees to comply with all reasonable requests and regulations applicable to any other business initiation. It is also agreed that Simple Intelligent Systems, as an independent contractor, is not restricted to working exclusively for you during the term of the agreement.
- Ownership of the designs and development ‘code’ remain property of Simple Intelligent Systems until such time as all monies are received.
- Simple Intelligent Systems retains the right to use any designs for self promotional purposes.
- Work that is refused by you, or remains unpaid will remain our property and cannot be used in whole or in part by you or your company.
- Simple Intelligent Systems will not be responsible for any damage, loss or liability the client or any third party may suffer. This includes loss of revenue, profits or data resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions caused by Simple Intelligent Systems or otherwise.
- Either party may terminate the work contract without cause upon thirty (30) days written notification to the other party. We may terminate this agreement immediately upon the refusal to, or inability to perform under the contract or a breach of the contract. Furthermore, the contract shall be terminated automatically in the event of dissolution of Simple Intelligent Systems. On termination of the contract, your obligation to pay us, except for services already accrued or incurred, will forth with cease and terminate.
- We allocate manpower on a project upon advance payments from the client for a set time frame. In case the project is delayed or not complete because of client side delays, we will close the project on the preset time frame with whatever information or client inputs we have. In case client requests design or functional changes after the set time line, such changes will be billed at our hourly rates.
- The purchaser is deemed to have read and accepted these terms and conditions on receipt of payment.
- These Terms and Conditions supersede all previous representations, contracts, understandings or agreements, unless specifically agreed otherwise by both Parties, in writing.
- Simple Intelligent Systems reserves the right to revise its terms and conditions at any time.
